When they say that they bought it from japan... its public knowledge that they bought it not as a brand new vessel but as a used cargo or luxury ship from Japan. Betonio NORTHERN Mindanao fared poorly in terms of exports during the first quarter of 2009 compared to the same period last year. Data from the National Economic and Development Authority (Neda) Northern Mindanao office showed that exports from the region decreased by more than half of the value exported during the same period last year. In 2008, exports reached US$ 218.95 million but this year, total value of exports is only US$92.37 million, which is 57.81 percent lower than last year’s data. The Neda attributed the decrease to the reduction of orders for coconut-based products, iron and steel in Lanao del Norte, the top commodities of the province. The low value in exports is also due to the steep decrease in the production of oleochemicals in Misamis Oriental, which is one of the region’s top export commodities. In 2008, the region gained US$43.47 million for exported oleochemicals but this year, only US$10.34 worth of the product was exported. However, among all the provinces in the region, only Misamis Occidental showed growth in exports, from US$0.04 million in 2008 to US$3.374 million in 2009 . The Neda attributed the growth to a reported export of coconut oil to Italy amounting to US$3 million. The Neda said this illustrates the entry of the region’s products to non-traditional markets, a strategy used by local firms to offset low orders from the usual foreign buyers. But the Neda said the growth of coconut oil exported from Misamis Occidental still cannot cope up with the decrease of exports for Northern Mindanao. However, it said a ray of hope is gleaned in new export markets although orders may still not be substantial. MONTECILLO, BusinessWorld 09/24/2008 | 01:47 AM MANILA, Philippines — The Aboitiz Group is getting out of the shipping and logistics business to focus more on and grow its current core power and financial services units. The board of directors of Aboitiz Equity Ventures, Inc. (AEV), the listed holding firm of the Aboitiz Group, on Tuesday voted unanimously to accept an unsolicited offer from KGLI-NM Holdings, Inc. to purchase all its shares in Aboitiz Transport System Corp. KGLI-NM, owned jointly by Negros Holdings and Management Corp. and Dutch company KGL Investment BV, will conduct a due diligence audit over the next 60 days. KGLI-NM offered to purchase AEV’s 77.1% equity as well as the 15.93% shareholdings of Aboitiz & Co., Inc. (ACO), the group’s private holding firm. The company, in a disclosure to the Philippine Stock Exchange, said the deal had been valued at P5 billion. Aboitiz Transport’s stock Tuesday went up by almost 40% to settle at P1.90 per share. The acquisition will include all of Aboitiz Transport’s shipping and logistics businesses such as Superferry, Supercat, 2GO and MCC Transport Philippines. To be excluded is a joint venture with the Jebsen Group of Norway which involves ship management, manning and crew management. Erramon I. Aboitiz, AEV executive vice president and chief operating officer, said they had no intention to sell but found KGLI’s offer "reasonable". The Aboitiz business empire started in 1907 with one ship called "Picket" that transported hemp for trading across the islands. "We have been in the transport business for over 100 years. It was a very hard decision. But we are businessmen. Sometimes, we have to make choices on where to put our money," Mr. Aboitiz said in a conference call with reporters. "[A]t that price, we can deploy the funds we raised from the sale" to the company’s other businesses, he added. Saying "we have limited capital as a group," Mr. Aboitiz said the consensus was that "over the long term," the transport business would not have grown as much as its other units. "It’s a reflection of alternatives," he said. Terms to be finalized Under the memorandum of agreement signed Tuesday between KGLI-NM on one hand and AEV and ACO on the other, the former will purchase all share-holdings of the two Aboitiz companies in Aboitiz Transport on a per share price to be computed based on firm’s equity value of P5 billion, which is equivalent to P2.044 per share. The final terms will depend on the results of the due diligence, which is scheduled to be completed on November 22, and the execution of a definitive share purchase agreement which is expected to happen on or before January 15 next year. The agreement also provides that KGLI-NM will undertake a tender offer for shares owned by minority shareholders at the same terms offered to AEV and ACO. The proceeds will be re-invested in businesses in the power and financial services sectors. Mr. Aboitiz said. However, they have not identified the specific businesses that will benefit. "It’s still too early to count our chickens although we have a very serious buyer," Mr. Aboitiz said. Aboitiz Power Corp., which holds all the businesses of the Aboitiz Group in the sector, currently does not need additional investments, he said. "Aboitiz Power, by itself, is very well-capitalized. Its income contribution (to AEV) is getting to be a dominant part. There is no need to raise additional equity. But you never can tell," he added. Aboitiz Power plans to bid for the power generation assets the government will privatize. If the deal goes through, Mr. Aboitiz said they would be leaving the transport business in good hands. Sale good for everybody Mr. Aboitiz said the sale will "be good for the industry and (the company’s) employees." "The only change that will happen is that the (Aboitiz) family members will turn over their positions over time," he said. He did not give a specific timeline. KGL Investment, which holds 60% of the KGLI-NM, has been involved in logistics and has investments in Negros Navigation as well as in port and port-related businesses. It was said to have established an air transportation logistics complex in Clark Field under an agreement with the Clark International Airport Corp. "Overall, it’s a transaction that’s good for everyone. This is good for the country because a new investor is coming in. It’s good for AEV because it would give us additional resources," Mr. Aboitiz said. "And it’s good for KGLI-NM. They’re happy with the management, they’re impressed professionally by our group." If the deal doesn’t go through, he said Aboitiz Transport would continue to grow its logistics and distribution business. "We do not want to sell to anybody," he said. Mr. Aboitiz said there would be no merger between Aboitiz Transport and Negros Navigation. Aboitiz Transport reported a 9% improvement in consolidated revenues to P6 billion in the first six months of this year. But total costs and expenses were said to have jumped by 15%, largely due to higher fuel and charter-related expenses. The higher fuel prices have eroded Aboitiz Transport’s margins. As of June 30, net income amounted to only P16.8 million compared to P366 million in 2007. As of December 2007, Aboitiz Transport had right-sized its fleet to 17 operating vessels. Rosauro OZAMIZ CITY -- The province of Misamis Occidental has recently entered into an agreement with the Australian government for a P500 million infrastructure support primarily aimed at rehabilitating provincial roads over the next five years. The development assistance pact was signed by Governor Loreto Leo Ocampos and Australian ambassador to the Philippines Rod Smith last week in the presence of Assistant Secretary Austere Panadero of the Department of the Interior and Local Government (DILG). According to governor Loreto Leo Ocampos, the Southern Philippines Provincial Road Maintenance Program (SPPRMP) actually covers 10 provinces in the Visayas and Mindanao and is funded with some Aus$100 million—around P3.5 billion—by the Australian government through the Australian Agency for International Development (AusAID). The program has a Provincial Road Maintenance Facility (PRMF) that provides P50 million each year to every beneficiary provinces for construction and repair of provincial roads over a five-year period. Ocampos, who is also president of the League of Provinces, emphasized that provincial roads are the key links of rural communities to the national highway and eventually to the centers of trade and commerce, political administration, and health and educational services, among others. By improving transport along these, especially in terms of travel time and cost, the welfare of rural folks will significantly improve, he said. Apart from improving the road network, the program also seeks to strengthen each province’s institutional capacity and governance system related to the provision and maintenance of provincial roads. The intervention is set against the fact that of the country’s more than 31,000 kilometers of provincial roads, only a small percentage of these are assessed to be “in good condition.” Depending on the performance of each beneficiary province in carrying out the program, these could be eligible for another round of assistance, Ocampos added. The provinces slated to benefit from the SPPRMP are Agusan del Sur, Bukidnon, Misamis Occidental, Misamis Oriental and Surigao del Norte, in Mindanao; and Bohol and Guimaras in the Visayas. Three more beneficiary provinces are still to be identified. Within five years, the SPPRMP is principally expected to have rehabilitated at least 1,000 kilometers of provincial roads in the 10 provinces; improved access for over four million people to schools and health centers; and reduced transport costs. The PRMF is said to be Australia’s single largest grant project in the Philippines to date; the bilateral agreement covering this was signed last March. Australia is the country’s second largest bilateral grant aid donor after Japan. Betonio THE current global economic crisis has taken a toll on Northern Mindanao’s coconut industry as demand for export products decreased in the first quarter of this year compared to the same period last year. Data from the National Economic and Development Authority (Neda) in Region 10 showed that the volume of coconut products and by-products exported during the first quarter dropped by almost 73 percent from 115,821 metric tons (MT) during the same period in 2008 to only 31,594 MT in 2009. Correspondingly, gross sales also went down by 68 percent, from US$98.035 million in 2008 to only US$30.888 million in 2009. Among coconut products and by-products, the demand for coconut oil plummeted extensively from 43,629 MT in 2008 to just 7,010 MT in 2009, or gross sales of only US$3.645 million in 2009 from the 2008 sales of US$45.256 million. Aside from coconut oil, the demand for coconut chemicals, desiccated coconut, copra cake/meal, coco cream, coco nets and coco husk chips also went down as a result of the global economic crisis. Among the coconut products and by-products, only shell charcoal, milk powder, reduced fat, and coconut water had a slight increase in volume and sales. Data from Neda also showed that among the provinces in Northern Mindanao, only Misamis Oriental recorded negative for the production of mature nuts in the first quarter of 2009 compared to the same figure last year due to the flashflood that hit the province in early January. The negative mature nuts production in Misamis Oriental is also attributed to the ongoing construction of the Laguindingan International Airport and other commercial and industrial developments as the province recorded the highest number of trees cut compared to the other areas in the region. The Neda data showed that the full implementation of Republic Act 8048 or the Coconut Preservation Act of 1995 significantly reduced the total number of coconut trees cut legally in the region -- from 5,481 in 2008 to 2,426 in 2009. However, the Laguindingan airport is exempted from the nationwide suspension of permit issuances because the trees affected within the airport are under land use conversion. Though there is low demand for coconut products and by-products for the region, Neda is hoping that Northern Mindanao’s economy would stay afloat through improved domestic production. Ricalde A CAR repair shop and another that sells used cars in Cagayan de Oro were padlocked Thursday after its owner, believed to be a South Korean national, was allegedly found cheating on tax payments. Simultaneously, the Bureau of Internal Revenue in Northern Mindanao (BIR-X) also temporarily shut down the operation of Dae Sang Trading and CASACO Trading Corporation in the cities of Iligan and Ozamiz. The two companies, represented by one Jun Yun Kim, are engaged in car repair and car dealership in the three neighboring cities, BIR-Northern Mindanao said. BIR Regional Director Esmeralda Tabule said the violations of the two establishments include the failure to pay the correct value added tax (VAT) and the failure to supply correct and accurate information to the nature of their respective businesses and financial standings. Based on the surveillance conducted by Tabule said Dae Sang Trading had P12 million total sales in 2008 but its declared income in the same period amounted only to P1.5 million. It was also found out that the branches of Dae Sang Trading and Casaco Trading in the three areas have different business permits but are using similar receipts. “We believe that the four establishments are own by one taxpayer only,” Tabule said. Although managed by a South Korean national, BIR records show Dae Sang Trading is registered under the name of one Noraiza Luz. Jun Yun Kim, the manager, signed the closure order delivered by Tabule herself. But as journalists approached the South Korean national to seek his comment, the foreigner shouted: “I’m not criminal! You see I try my best to fix this!.” Under the BIR’s Oplan-Kandado program, business operations of erring taxpayers will be suspended will be temporarily stopped. Grounds for closure include failure to file a VAT return, understating taxable sales or receipts by 30 percent, and failure to register the business.
