Ayala Land wins bid vs SM Prime

BACOLOD CITY, Philippines — Ayala Land, Inc. yesterday won over SM Prime Holdings on the "negotiated bidding" for the sale and lease of the 7.7068-hectare (77,068 square meters) prime property of the Negros Occidental provincial government in this city.

Ayala Land vice president Jose Emmanuel Jalandoni said the company offered to acquire on freehold basis 36,587 square meters of land at P20,500 per square meter and on leasehold basis 40,481 square meters of land at P73 per square meter per month for 50 years.

The provincial government had placed the floor price (appraised value) of the subject property at P19,500 per square meter. SM Prime Holdings, which was the first to submit an "unsolicited intent" to purchase or lease the said property last month, did not submit its proposal yesterday.

Governor Alfredo Maranon Jr., head of the committee on awards and disposal of properties, said, "SM Prime lost in the bidding by default. Maybe, it was not interested."

SM Prime filed Wednesday a petition for a temporary restraining order (TRO) to prevent Maranon and the awards committee from entering into a negotiated lease and sale of the property. The following day, Judge Estefanio Libutan Jr, of the Regional Trial Court-Branch 50 denied SM's petition.

"The court should not intervene in the bidding process of the provincial government for so long as it follows the legal process," said Libutan in his decision.

Following the court's ruling, the committee proceeded with its scheduled acceptance of negotiated sale and lease proposals yesterday, said the governor, adding that it was done to the best interest of the people and the province of Negros Occidental.

Maranon said the committee declared the second bidding on July 7 a failure after both SM Prime and Ayala Land submitted bids below the appraised value of the 7.7068-hectare property.

Vincent Patrick Bayhon, lawyer of SM Prime, said Thursday the firm maintained its position that it won the July 7 bidding as its bid was the superior one, contending that it was higher at P18,888 per square meter against Ayala's P17,719.50 per square meter.

"If you follow the rules, the highest should be declared the winner for the auction. We are entitled to be declared the winning bidder," Bayhon said. "There was no failure of bidding and the court will have to decide for that."

Ayala Land is planning to invest P6 billion for the "Capitol Civic Center–an integrated mixed-use civic and commercial district combining the center of government with commercial and residential uses, making it the growth center of Metro Bacolod and Negros Occidental," said Joel Luna, one of its vice president.

"The project will have a lifestyle center, encompassing retail, office and hotel, a multi-use convention and events venue, and a residential commercial zone," Luna said, adding that an additional investment of P25 million will be earmarked for the development of the Capitol Park and Lagoon.

Maranon told The FREEMAN: "This will be the biggest investment in the province so far. It will definitely change the landscape (of the province). It must conform to the culture and aesthetic beauty of the Negrosanon."

The key principles to govern the planning and development of the Capitol Civic Center will revolve around five major themes: Smart and Green, Pedestrian and Transit Orientation, Diversity of Activity, Youth and Vibrancy, and Prestige and Civic Pride.

The land developing giant vowed to make the property a signature Ayala Land project like the Bonifacio Global City, Trinoma Mall and the Asia Town IT Park.

The presentation and direct negotiation almost got stalled after SM Prime filed a petition for certiorari with a prayer for temporary restraining order (TRO) to stop Marañon from negotiating the sale and lease of the property on July 13.

During the hearing, the provincial government’s legal counsel said SM Prime is employing a “bullying and blackmailing tactic” on the governor and the committee.

But SM Prime said they are just protecting their business image and that they want to avail themselves of all available remedies in filing the civil case against the provincial government.

Regional Trial Court Branch 50 Judge Estefanio Libutan denied SM Prime’s petition. In a three-page decision, the judge said there is no valid reason for the urgent issuance of a TRO on the negotiation.

SM Prime’s legal counsel said they already won the bidding on July 7, stressing that they offered a bid to develop the property a lot better than that of Ayala Land.

However, Marañon and the special committee declared the July 7 bidding a failure because the offers of the two land developers were below the appraised value of the property.

The governor scored SM Prime for declaring that they won the bidding. He said it is the special committee that will decide which bidder wins./PN

Ayala wins Capitol bid, outlines P6B dev’t plan

Negros Occidental Gov. Alfredo Marañon Jr. said the Committee on Awards and Disposal of Real Properties of the province has awarded the sale and lease of 7.7 hectares of its prime properties in Bacolod City to AyalaLand, after SM Prime Holdings Inc. failed to join the announced negotiated bidding yesterday.

“This P6 billion development plan of AyalaLand for the properties adjacent to the Capitol is historic for the province and Negrenses. It will change the landscape of Bacolod City and Negros Occidental,” the governor said.

AyalaLand vice president Jose Emmanuel Jalandoni thanked the committee for its decision, saying his firm is very optimistic and excited about the project.

They will begin construction as soon as they have the final contract and aim to have some buildings up in two years, he said.

The entire development of the area is expected to be completed in five to eight, but the target is to develop the Capitol Park and build the hotel and retail areas first, Jalandoni added.


The terms and condition of the contract for lease and sale of the property will be submitted to the Commission of Audit and the Sangguniang Panlalawigan for approval, provincial government lawyer Mary Ann Manayon said.

AyalaLand entered a bid of P20,500 per square meter for 36,587 square meters up for sale for a total of P749,951,500, inclusive of P25 million for the development of the Capitol Park for the provincial government.

It also entered a lease bid of P73 per square meter a month for 40,481 square meters or P2,914,632 a month escalating by 10 percent every five years over a 50-year lease period.

Lease payment will be subject to a two-year grace period for construction from the time of turnover and acceptance of the property.

AyalaLand vice president Joel Luna, who presented his firm’s plan for the 7.7 hectares, said they are proposing the development of an integrated mixed-use civic and commercial district that will combine the center of government with commercial and residential uses, making it the growth center of Metro Bacolod and Negros Occidental.

CIVIC CENTER

It will be known as the Capitol Civic Center – a one-of-a-kind convergence of business, community and governance, he said, noting that they believe Negros Occidental is rapidly becoming one of the fastest growing regions in the Visayas.

AyalaLand will invest P6 billion for the development of a lifestyle center for shopping, entertainment and dining, a hotel to attract business tourism, Business Process Outsourcing offices, a multi-purpose events and convention center, residential and commercial zones with high-rise towers in the midst of private gardens, and a redeveloped Capitol Park as the focal point of the project, he said.

The centerpiece of its development plan will be the Provincial Capitol Building and Capitol Park, Luna stressed.

“We see the Capitol Park as a symbolic open space just like what Washington Mall is to Washington DC,” he added.


The development will respect the site’s heritage and history as well as its context as a seat of government and symbolic heart of the province, he added.

In order to allow a fully integrated development, AyalaLand also proposed to undertake the planning for the development of the adjacent landholdings of the provincial government.

The plan allows for the seamless connection of the Capitol Park and Parks and Wildlife area into a larger and continuous landscaped experience, Luna also said.


ON SHOEMART

SMPHI Wednesday filed a civil case for certiorari with application for temporary restraining order and or preliminary injunction against the governor and the members of the Committee on Awards and Disposal of Real Properties.

But Bacolod Regional Trial Court Judge Estefanio Libutan Jr. Thursday denied the petition of SMPHI for a temporary restraining order to prevent the governor from entering into a negotiated lease and sale of the 7.7 hectares yesterday.

SMPHI told the court it already has a vested right as winning bidder since it offered a higher bid than AyalaLand during a second public bidding on July 7.

Considering that Ayala Land and SMPHI both offered bids below the floor price the court was told that the committee was constrained to declare the July 7 bidding a failure and opt for the negotiated sale and lease that was open to both parties yesterday.

Courts will not interfere with the government in its exercise of its discretion in the acceptance or rejection of bids, unless it has been shown that it gravely abuses or exceeds its jurisdiction, the judge said in his ruling.

The judge has set the hearing for SMPHI’s application for a writ of preliminary injunction on July 21.

SMPHI, as of press time, had no comment on the committee’s decision to award the sale and lease of the Capitol property of AyalaLand.

Maybe SM is not interested because it did not submit a proposal yesterday, the governor said.

“They lost by default,” he said.

If SM questions the committee’s decision in court, it is up to SM. In a democratic country, it is their right to go to court, Marañon added.*CPG

i've seen their presentation on TV patrol negros and all i can say is they have a GRAND plan....the grandest plan for bacolod i've seen so far.

possible man migo a because ayala is strongly advocating a boutique hotel brand in all its mall development projects and i think that's where the kukun hotel thing came in.

that's right. its a blessing in disguise that this capitol property came in late kay basi they could have incorporated the nortpoint plan with this and left northpoint purely residential. that's just a speculation lang a. btw, i hope pala-pala would be redeveloped also along with this to make it more presentable amd tourist friendly.

thats right that means we will have 2 ayala malls in the province when asked about the HH in the south....they wouldnt answer but they said they are scouting for a south project
