Rockwell Land mulls IPO

The planned initial public offering (IPO) of Lopez-controlled property firm Rockwell Land Corp. may take place either late this year or early 2009 depending on market conditions, a top company official said.

“If there’s a window later this year then we might do it this year. But we’re definitely considering doing an IPO for Rockwell, ”said Elpidio Ibanez, president of First Philippine Holdings Corp., the parent firm of Rockwell.

Rockwell is eyeing to raise around $100 million through the maiden offering of its shares to the public to fund the development of the Lopez Tower and The Grove, a mid-cost residential project in Pasig.

The Grove, which will rise on a five-hectare property formerly owned by General Milling Co. along C-5 in Ortigas, will have five high-rise residential towers and a small commercial component to be developed over five to seven years.

Estimated to cost about P12 billion, the project is slated for construction early next year with the initial phase costing P8 billion.

Rockwell will also need around P4 billion for the development of the 50-story Lopez Center, the last project in the Rockwell Center, a prime 15-hectare community with condominium projects, sports and leisure clubs, and a lifestyle shopping center.

The company is in talks with three to four locators for its planned call center building as part of a redevelopment plan for the property.

The plan involves the construction of three office buildings and a residential enclave.

Rockwell Land is a joint venture among the Lopez-controlled firms Manila Electric Co. Benpres Holdings Corp. and First Philippine Holdings.

Yeah, they decreased the floors from 65 to 50. I don't think this will reach 300m.

WITH the weakness in the market spoiling its plans to offer stocks to the public, the Lopez group is in talks with foreign equity funds interested in Rockwell Land Corp. (RLC).

In an interview, Benpres Holdings Corp. (BHC) president Angel Ong said there are private equity funds talking to the real-estate company but everything is still at the exploratory stage.

“RLC is deferring its IPO [initial public offering] because of the market slowdown. Having said that, maybe it’s a good idea to entertain these offers,” he said.

He said even BHC might sell its entire 24.5-percent stake in RLC if an investor lays down a good offer.

RLC, famous for its Rockwell Center development in Makati City, was expecting to go public this year but decided to delay the plan until market conditions become more conducive.

RLC has tapped Hong Kong-based investment banker CLSA as underwriter for the planned share sale.

The proceeds from the sale will be used to fund its other developments, including one on a recently acquired property along C-5 in Pasig City.

Apart from BHC, RLC is 51-percent owned by Manila Electric Co. (Meralco) and 24.5 percent by First Philippine Holdings Corp. The Lopez group controls all the owners.

RLC said earlier it was spending nearly P10 billion from 2007 to 2011 for various property development projects, including the construction of a BPO [business process outsource] office building in Ortigas area.

The BPO project is part of the redevelopment of the Meralco property in Pasig. The plan is to build three BPO buildings and a residential enclave.

The company will also revisit the plan to develop the Lopez Tower, which it originally planned to start before the Asian financial crisis erupted in 1997.

Formed in 1995, Rockwell Land is a real-estate development company initially tasked to develop prime residential and commercial land located adjacent to the Makati central business district.

Its flagship project, Rockwell Centre, is a living environment integrating residential, office, educational, entertainment and shopping into one self-contained and exclusive community. It started development in early 1996. The Rockwell development sits on a 15-5-hectare property where a Meralco-owned power plant used to be located.
