Lotte Group was required to remove Korean flag from Lotte World Tower's facade because of the violation of the law. According to it, the use of the Korean flag with marketing purposes is banned.

Lotte Group will take down a giant Korean national flag displayed on the Lotte World Tower next month.

The retail giant has adorned the 123-story skyscraper with the huge flag _ 36 meters wide and 24 meters high _ since August 2015 to commemorate Korea's 70th year of independence from Japan.

However, civic group Wirye Citizens Alliance filed a complaint with the Songpa District Office and the Seoul Metropolitan Government (SMG) in April, calling for the removal of the flag from the building.

The civic group accused Lotte of violating the outdoor advertising law and building codes by using the flag for marketing purposes. The group said the company's logo right below the flag was especially a problem.

Although the SMG was unsure whether the flag placement constitutes the breach of any law, it advised the retail giant to take it down.

Lotte removed its logo first and planned to remove the flag by the end of May. But then the Ministry of Patriots and Veterans Affairs intervened, saying that the flag would be better kept at least until the end of June, the country's memorial month for patriots and veterans.

"June is the month of Memorial Day and the Korean War, which broke out on June 25, 1950. To commemorate the important days for patriots and veterans, we are trying to encourage government organizations and companies to display the Korean national flag," a ministry official said in a statement.

Lotte welcomed the ministry's request and decided to keep the flag until early July.

"Although we expect more complaints from some civic groups for the extended display, we decided to accept the request for public interest," a Lotte official said. "We have been put in an awkward position with the flag display, which we started with pure intentions to promote love for the country."

The dispute over the flag once again highlighted the identity issue of Lotte, a firm established in Japan by Korean Shin Kyuk-ho.

The group's de facto holding company is Lotte Holdings, which is controlled by the small Tokyo-based company Kwang Yoon Sa owned by Lotte's founding family.

The complicated ownership chain was exposed last year during a succession fight between the founder's two sons, negatively affecting Lotte's image among Korean consumers.

The company's image took another blow when the choice of its chocolate ad model, Mao Asada, made headlines in Korea. Because Asada was considered the chief rival of Korea's beloved Kim Yu-na, the ad reinforced perceptions that Lotte is more Japanese than Korean.

Few were surprised when Lotte decided to place the Korean national flag on its symbolic tower last year in an apparent effort to win the hearts of Korean consumers and the government.

Also, over the past week or so, prosecutors have been raiding multiple branches of the Lotte Group, due to embezzlement charges. So the company is in disarray for the time being. As some of the C-Suite executives are under prosecution, it is possible that the construction might be stopped and delayed a bit. At this point, everything is still going on, but a construction suspension looms.

Lotte Hotel (scheduled to open on top of the tower) and the Lotte World Duty Free (Lotte has lost in licence so the store will have to close, but it was expected that it would win a new licence or "transfer" it from its COEX InterContinental one.

“We decided to withdraw from the bid given the current difficulties faced by Lotte Group and the highly competitive nature of the bid,” Lotte Chemical said in a statement released Friday.

The planned initial public offering of Hotel Lotte, the de facto holding company of the group’s operations in Korea, is expected to face new delays and even possible cancellation given the group’s current circumstances, industry watchers said.

By offering 47.85 million shares, Hotel Lotte was expected to secure up to 5.2 trillion won ($4.5 billion) in new funds through the IPO, considered the world's biggest this year.

Last week, Hotel Lotte, which operates Lotte’s duty-free business, delayed its scheduled IPO to July and scaled back its proposed price range after its key executives came under investigation on suspicions of receiving kickbacks from local budget cosmetics brand Nature Republic in exchange for store space.

The new raids that began Friday and the expected legal procedures to follow are now fostering fresh uncertainty for Hotel Lotte’s IPO timetable.

According to KRX regulations, the deadline for Hotel Lotte to complete its IPO is July 27, six months from the preliminary approval date.

In the case that prosecutors discover any form of accounting fraud or issues with Hotel Lotte’s finance, the company would be unable to complete its public offering procedures in time.

“(Given the current situation,) we cannot rule out the possibility that Hotel Lotte could cancel its IPO,” a Korea Exchange official was quoted as telling the local media.

Hotel Lotte said it is scheduled to hold an emergency meeting with the KRX early this week to discuss the new developments.

“As the investigation began just days ago, we cannot confirm any new developments as of now,” Hotel Lotte spokesperson Cho Baek-rae told The Korea Herald.

The scheduled IPO stands at the center of Lotte chairman Shin Dong-bin’s reform agenda aimed at improving the group’s murky governance structure and building momentum for Lotte’s future business expansion.

After ousting his elder brother in a bitter fraternal feud over control of Lotte, the chairman had vowed to win back public trust by making its main hotel unit public and improving corporate transparency.

The widened probe is further expected to hurt Lotte’s chances in winning a coveted government license to operate a duty-free store in downtown Seoul due to be issued through a bidding process later this year.

Hotel Lotte has been pinning high hopes on winning a new license during the upcoming offer as it failed to reclaim its operational rights to its duty-free store in Jamsil in November last year.

The Jamsil store, which generated roughly 600 billion won in annual sales in 2015 as Lotte's second-largest duty-free shop in Seoul, is set to close later this month.

Resuming the store’s operation is crucial to Hotel Lotte’s valuation, as some 85 percent of its sales are generated via its duty-free business.

Duty-free stores are a rare bright spot in Korea’s lackluster retail sector, growing by an average 20 percent over the past five years. Last year, they posted a combined 9.2 trillion won ($8 billion) in sales.

By going public, Hotel Lotte had also sought to raise funds for the aggressive expansion of its duty-free business overseas through strategic investment and M&As, with aims to step up as the world's No. 1 duty-free operator in the next few years.

However, the company is likely to refrain from making big investments in the near future given the IPO is set for an indefinite delay, among other apparent hurdles.

Even as Lotte’s group-wide crisis deepens, the fraternal feud between incumbent chairman Shin Dong-bin and his displaced elder brother Shin Dong-joo is expected to intensify once again in the weeks ahead.

Lotte Holdings is scheduled to hold its regular shareholder’s meeting in Tokyo later this month, according to Lotte Group. Upon Shin Dong-joo’s request, the upcoming meeting is set to include a vote on removing chairman Shin Dong-bin and Lotte Holdings CEO Takayuki Tsukuda from the company’s board.

well, this defenitely doesn't sound good for Lotte Tower in Busan or Seocho Lotte Town in Gangnam.

Although, maybe the article is just about Lotte Hotel and not Lotte Corp in general..

All these articles from these past four days (among others) mention that construction might be delayed because of the ongoing prosecution... So, read the press. I never mentioned that the prosecutors could directly order a shutdown of the construction. I said that the company is in disarray as a direct consequence of this prosecution, which many economic analysts say this might lead to the construction being delayed. I never said it was a sure thing.But nice to see you still trying to attack me whenever I post something.

Lotte, South Korea's fifth-largest conglomerate, has come under a high-profile investigation as prosecutors on Friday raided the offices of its headquarters, seven affiliate companies and the houses of key executives, including group Chairman Shin Dong-bin, to look into allegations of illegal slush funds and other shady business practices.



This raid comes less than two weeks after prosecutors raided the offices of Lotte's duty-free business, the founder's eldest daughter and the incumbent chairman's sister Shin Young-ja on suspicion of receiving kickbacks from the chief of scandal-ridden cosmetics brand Nature Republic in return for business favors.

The widening probe into its key figures and affiliates is the last thing Lotte needs as it has been pushing for the initial public offering (IPO) of Hotel Lotte, a series of mergers and acquisitions and the opening of the 123-story Lotte World Tower this year.

The IPO of the hotel and duty-free operator is the key reform pledge the Lotte chairman, the second son of Lotte founder Shin Kyuk-ho, has made to improve the murky governance structure of the business empire following an acrimonious succession battle with his elder brother Dong-joo.

Hotel Lotte had initially planned to go public on the Seoul bourse in late June, but last week pushed back the schedule to July 27 and cut the size of the IPO in the aftermath of the snowballing bribery scandal.

But the July deadline has also become an unachievable goal following the Friday raid because there is not enough time for the company to revise its documents. It has to complete the listing procedure within six months following preliminary approval in January.

On Monday, Lotte said it will "indefinitely delay" the hotel listing, considering "the current situation and protection of shareholders."

"As the Hotel Lotte IPO is a key task for improving corporate governance by lowering the ownership of Japanese shareholders and diversifying shareholders, we will closely consult with the IPO manager and regulatory agencies about the future plan," Lotte said in a statement.

The widening investigation has also dealt a blow to its chemical unit, which has sought to diversify its portfolio following a 3 trillion won (US$2.55 billion) takeover of Samsung's chemical units in October.

Following Friday's raid, Lotte Chemical Corp. canceled its takeover bid for U.S.-based petrochemical firm Axiall Corp.

"We decided to withdraw the bidding considering the overheated competition and the tough situation Lotte is faced with in the domestic market," Lotte Chemical said in a regulatory briefing on Monday. "Separately from the bidding plan, we will continue to maintain a partnership with Axiall Corp."

Market watchers say Lotte's other major projects could also face headwinds, as senior officials are embroiled in the scandal and other irregularities.

Lotte has been seeking reapproval from the government to maintain its duty-free outlet at Lotte World Tower, the license of which is set to expire at the end of this month.

Failure to get a license for the duty-free store that generated some 500 billion won in sales in 2015 could inevitably lead to shrinking profit, which could undervalue Hotel Lotte's IPO should the procedure resume later.

The fate of Lotte World Tower also remains unclear as Noh Byeong-yong, who is in charge of building the Lotte Corp. skyscraper, was arrested over the weekend on charges of selling toxic humidifier disinfectants while he was serving as chief marketing officer of Lotte Mart years ago.

The skyscraper standing next to the Han River in the affluent Gangnam Ward partially opened last year despite lingering safety concerns, but it still faces the daunting task of reassuring shoppers who remain jittery over its safety.

Prosecutors are also looking into suspicions that Lotte officials lobbied government officials from the previous administration to get approval for the construction of the nation's tallest building near a military airport.


To make matters worse, the family feud doesn't seem to be put to rest.

In the midst of the turmoil, Shin Dong-joo, the former vice chairman of the Tokyo-based Lotte Holdings, has once again waged an offensive against his younger brother.

Dong-joo has claimed that he is his father's hand-picked successor and is currently taking care of his 93-year-old father, who has been hospitalized, in what could be a move to project the image that he is the heir. Dong-bin has argued that his father is unable to make reasonable judgments due to mental health problems.

Dong-joo has reportedly demanded that Lotte Holdings shareholders vote on his proposal calling for the dismissal of Dong-bin and Lotte Holdings President Takayuki Tsukuda from the post of company director at the shareholders' meeting. Lotte Holdings is expected to adopt the proposal as a formal agenda item for a vote, according to officials.

Dong-bin prevailed in two previous shareholders' meetings, including one in March that cemented his hold on Lotte in a power struggle with his elder brother.

Still, Dong-joo has asked Lotte Holdings to set up an emergency consultative meeting ahead of the shareholders' meeting, citing the crisis over the prosecutors' investigation and alleged malpractice carried out under the current leadership.

"We have completed an analysis of the financial statements of Hotel Lotte," Kim Soo-chan, the legal representative for Shin Dong-joo, told Yonhap News by phone. "We will closely watch the prosecution's investigation and decide on whether to use the documents for any actions."

All of these challenges could put a heavy burden on Shin Dong-bin, whose close aides are being questioned over their involvement in the creation of alleged slush funds and other shady practices.

According to sources with knowledge of the investigation, prosecutors have traced dubious funds worth 30 billion won that the founder and the incumbent chairman created through affiliates.

Despite rising pressure, Lotte officials remain confident that the prosecutors' investigation is unlikely to affect Dong-bin's management control, saying there is no sign of unrest among the major shareholders in Lotte Holdings.

Currently, the Lotte chairman is on a business trip to Mexico and the United States and is scheduled to return home later this month.

Although Lotte withdrew its bid for Axiall, Shin plans to attend the opening ceremony of an ethane cracker in Louisiana, a joint project between the two companies, according to senior Lotte officials.

"Shin had planned to return this weekend, but the shareholders' meeting of Lotte Holdings has emerged as a new factor," a senior Lotte official said. "The chairman is likely to stay in Japan until the shareholders' meeting before returning (to Seoul)."

I cannot imagine president park's gov try to find outblack connection about constructing LWT. wow!!

Construction Continues on Crown of Korea's Tallest Tower
