Some countries follow that model, like Trafikverket in Sweden and Liikennevirasto in Finland. I personally don't see a huge advantage in it. Their activities are mostly separate.

I fear that a rail company would have an advantage in keeping the roads bad, in order to get more people on the trains..

The southbound tube of the Fremisi-San Rocco tunnel on A3 between Serre and Mileto, completed in 2008, was seized by authorities and closed to traffic due to design failures.
Due to geometric construction issues, lack of crashbarriers and poor lighting, it's very easy for drivers to crash against concrete pillars. Two deadly accidents have already happened there in few time.
