The land measuring 7,605 sq m will comprise an office tower, convention centre, retail podium and other components parties to the JV may mutually agree in writing. "The proposed JV would enable the company to diversify into property development. Given that the land is located in a prime area within the Kuala Lumpur city centre, the company is optimistic on future demand," Sapura Resources said in an announcement to Bursa Malaysia on Tuesday, July 19. The JV will also invest in facilities and infrastructure complementing the proposed development, it said. Sapura Resources and KLCCH will collaborate via a JV vehicle known as Impian Bebas Sdn Bhd. The former will purchase a 51% stake in Impian Bebas for a total cash consideration of RM110.67 million, which will be payable 21 days after the JV becomes conditional. KLCCH will hold the balance. "The sum of RM110.67 million was arrived at on a willing-buyer-willing-seller basis after taking into consideration the agreed aggregate initial equity contribution to be made by the parties of RM217.1 million. This is equivalent to the prevailing market value of the land as agreed between the parties," said Sapura Resources. The board of Impian Bebas will consist of four directors nominated by Sapura Resources and three by KLCCH. Sapura Resources will fund the RM110.67 million with borrowings. As a result, its gearing ratio will increase to 1.09 times from 0.47 times following the acquisition, as its borrowings grow to RM193.8 million from RM83.1 million. The company added that the commercial development will be funded by Impian Bebas with the equity received from the JV parties, though external funding may be sought if the amount proves insufficient. It said other details, including the project's gross development value, cost, duration and estimated profit will only be determined after the project plan is finalised. Sapura Resources' acquisition of a controlling stake in Impian Bebas is expected to be completed by Jan 31, 2012. Under the proposed JV, KLCCH will guarantee and underwrite the lease and/or tenancy of the retail podium and convention centre, while Sapura Resources will do the same for the office tower. Both guarantees are to last 15 years and involve a rental rate agreed by both parties. "The land is in a prime location, being adjacent to the KLCC Convention Centre and within walking distance from Suria KLCC shopping mall and the KLCC Park. This is in line with the Government's endorsement of the business tourism as part of its Economic Transformation Programme that aims to transform the nation into a high-income economy by 2020, with the allocation of a RM25mil Subvention Fund in 2011 and 2012, increasing to RM55mil in 2020. Sharing this insight at the 19th Asia-Pacific Incentives and Meetings Expo 2011 here yesterday, general manager of KLCC Datuk Peter Brokenshire said that this positive step would make Malaysia more competitive on the global stage and facilitate more cohesive private-public sector efforts to deliver more international and regional business tourism events into the country. “The Subvention Fund will help steer growth in business tourism and in turn, contribute to the nation's goal of doubling tourism receipts to RM103.5mil by 2020,” Brokenshire told a lunch meeting at the Melbourne Convention and Exhibition Centre here. Bernama In line with the ETP, the Malaysian government also launched the “Greater Kuala Lumpur Development and Economic Transformation Programme” that included the immediate planned development of two kilometers of overhead pedestrian walkway to link major places of interest and hotels around the Kuala Lumpur city centre.“The proposed walkways, totalling 42 kilometers for the long term plan, will provide convenience and flexibility for visitors to get to and from hotels or shopping destinations and other tourism attractions,” Brokenshire said. “With our strategic central location combined with the upcoming 450-room Grand Hyatt Hotel, the 180 rooms being added to the existing 322 units of Impiana KLCC Hotel expansion project and the just completed overhead bridge linking Impiana Hotel directly to KLCC will definitely enhance the KLCC's growing reputation as the premier convention facility in the country,” he said. And KLCC is poised for bigger things as its owner, KLCC Holdings Sdn Bhd has committed to the development of Lot 91 adjacent to KLCC. “The expansion will open up opportunities for KLCC to attract and accommodate larger events. Plans are currently being finalised with completion anticipated by late 2013,” Brokenshire said. He said with the development within the precinct, coupled with plans to expand its current footprint to cater for larger events and to enter new markets such as the US, KLCC is confident of continued growth going forward. From June 2005 through to December 2010, the KLCC was the venue of choice for 3,857 events with over 10.4 million delegates and visitors. The tallest tower and twisted one in the South Gateway ...
